1. Agreement to Terms

These Terms & Conditions ("Terms") govern your access to and use of the CartAgent service, including our website at www.cartagent.store, our WordPress plugin, APIs, and any related services (collectively, the "Service"). The Service is provided by Nuestra Development Pty Ltd (ABN 63 129 439 738), trading as WK Digital ("Company", "we", "us", or "our").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service.

2. Description of Service

CartAgent is a software-as-a-service platform that provides:

• An AI-powered chat widget for WooCommerce stores that assists customers with product discovery, questions, and checkout;
• MCP (Model Context Protocol) and A2A (Agent-to-Agent) endpoints that allow third-party AI agents to browse products, manage carts, and complete purchases;
• Integration with payment processors including Stripe and Coinbase Commerce;
• A WordPress plugin that connects your WooCommerce store to our cloud service.

3. Accounts & Registration

To use CartAgent, you must purchase a subscription and receive a license key. You are responsible for:

• Providing accurate registration information;
• Maintaining the confidentiality of your license key and WooCommerce API credentials;
• All activity that occurs under your account.

You must be at least 18 years old and have the legal authority to bind the entity on whose behalf you are registering.

4. Subscription Plans & Billing

CartAgent offers tiered subscription plans as described on our pricing page. All fees are in US Dollars (USD) and billed monthly via Stripe.

• Starter (Free): Limited to 50 AI sessions per month. Product search and chat widget only.
• Growth ($29/month): 500 AI sessions per month, cart & checkout functionality, coupon support.
• Enterprise ($99/month): Unlimited sessions, MCP & A2A protocol access, custom AI persona, Stripe and Coinbase payment integration, dedicated support.

Subscriptions renew automatically each billing cycle. You may cancel at any time; cancellation takes effect at the end of the current billing period. No pro-rata refunds are issued for partial months.

5. Session Metering

An "AI session" is counted as one unique visitor (human or agent) interacting with CartAgent on your store within a calendar month. Sessions are measured using HyperLogLog-based counting. If you exceed your plan's session limit, the chat widget and API endpoints will return a rate-limit response until the next billing cycle or until you upgrade.

6. Acceptable Use

You agree not to:

• Use the Service for any illegal purpose or in violation of any applicable laws;
• Reverse engineer, decompile, or attempt to extract the source code of our cloud service;
• Resell, sublicense, or redistribute your license key to third parties;
• Intentionally overload the Service with automated requests beyond normal usage;
• Use the Service to transmit malware, spam, or harmful content;
• Misrepresent your store's products or deceive customers via the AI assistant.

7. Data & Your Store

CartAgent accesses your WooCommerce store via the REST API using credentials you provide. We access product catalogues, categories, coupons, and order data solely to provide the Service. We do not modify your store's data except when explicitly triggered by a user action (e.g., adding an item to cart, creating an order).

You are responsible for ensuring your WooCommerce API credentials have appropriate permissions and that your use of CartAgent complies with your own store's terms and your customers' expectations.

8. AI-Generated Content

CartAgent uses third-party AI models (including models from Anthropic and OpenAI) to generate responses. While we strive for accuracy, AI-generated content may occasionally contain errors. You acknowledge that:

• AI responses are generated based on your store's data and may not always be perfect;
• You are responsible for reviewing and correcting any inaccurate product information in your store;
• We are not liable for purchasing decisions made based on AI-generated recommendations.

9. MCP & A2A Protocol Access

Enterprise subscribers receive MCP and A2A endpoints. You acknowledge that enabling these protocols allows third-party AI agents to interact with your store programmatically. You are responsible for understanding that:

• Agents may browse, search, and purchase products on your behalf or on behalf of their users;
• Orders placed by agents are binding and subject to your store's standard terms;
• We facilitate the connection but do not control third-party agents' behaviour.

10. Intellectual Property

The CartAgent service, including its code, design, documentation, and branding, is the intellectual property of Nuestra Development Pty Ltd. Your subscription grants you a limited, non-exclusive, non-transferable license to use the Service for the duration of your subscription.

You retain all rights to your store's data, product information, and customer data.

11. Limitation of Liability

To the maximum extent permitted by law, the Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business, or goodwill, arising from your use of the Service.

Our total liability for any claim arising from the Service shall not exceed the amount you paid to us in the 12 months preceding the claim.

12. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not guarantee that the Service will be uninterrupted, error-free, or that AI-generated responses will be accurate.

13. Termination

We may suspend or terminate your access to the Service if you breach these Terms, fail to pay subscription fees, or engage in prohibited conduct. Upon termination:

• Your license key will be deactivated;
• Your store's data in our systems will be deleted within 30 days;
• Any outstanding fees remain payable.

14. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or through the Service. Your continued use after changes take effect constitutes acceptance of the updated Terms.

15. Governing Law

These Terms are governed by the laws of New South Wales, Australia. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of New South Wales.
