1. Agreement to Terms

These Terms & Conditions ("Terms") govern your access to and use of the CartAgent service, including our website at www.cartagent.store, our WordPress plugin, APIs, and any related services (collectively, the "Service"). The Service is provided by Nuestra Development Pty Ltd (ABN 63 129 439 738), trading as WK Digital ("Company", "we", "us", or "our").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service.

To use CartAgent, you must register for an account at www.cartagent.store and receive a license key. The CartAgent WordPress plugin requires a valid license key obtained from our website — it cannot be activated solely through the WordPress or WooCommerce plugin directory. You are responsible for:

4. Subscription Plans & Billing

CartAgent offers tiered subscription plans as described on our pricing page. All fees are in US Dollars (USD) and billed monthly via Stripe.

Subscriptions renew automatically each billing cycle. You may cancel at any time; cancellation takes effect at the end of the current billing period. No pro-rata refunds are issued for partial months.

5. Session Metering

An "AI session" is counted as one unique visitor (human or agent) interacting with CartAgent on your store within a calendar month. Sessions are measured using HyperLogLog-based counting. If you exceed your plan's session limit, the system will automatically deduct from your credit balance (one credit per additional session). If you have no remaining credits, the chat widget and API endpoints will return a rate-limit response until the next billing cycle, until you purchase additional credits, or until you upgrade your plan.

In addition to your monthly session allowance, you may purchase AI credit packs to supplement your usage. Credits are available at tier-specific pricing:

Credit purchases are processed via Stripe and are non-refundable once delivered to your account. Credits are delivered instantly upon successful payment confirmation. Credits do not expire while your subscription is active but are forfeited if your subscription is terminated for non-payment or breach of these Terms.

When your monthly session allowance is exceeded, credits are automatically deducted at a rate of one credit per additional session. If you have no remaining credits and your session limit is reached, the service will be paused until your next billing cycle or until you purchase additional credits.

Credit balances are non-transferable and cannot be exchanged for cash, applied to subscription fees, or transferred to another account.

7. Auto-Recharge

You may opt in to automatic credit recharging via your CartAgent dashboard. When enabled, if your credit balance falls to 5 or fewer credits, your account will be automatically charged for a pre-selected credit pack at your tier's pricing rate.

By enabling auto-recharge, you expressly authorise us to process recurring charges to your payment method on file without additional confirmation for each transaction. Each auto-recharge transaction will appear on your Stripe billing statement.

You may disable auto-recharge at any time through your dashboard. Disabling auto-recharge takes effect immediately and does not affect credits already purchased. Auto-recharge purchases are subject to the same non-refundable policy as manual credit purchases.

8. Refund Policy

Subscription fees are non-refundable for partial billing periods. If you cancel your subscription mid-cycle, you retain full access to the Service until the end of the current billing period. No pro-rata refunds are issued for unused time.

AI credit purchases are final and non-refundable. Credits are delivered instantly to your account upon successful payment. We do not offer refunds, exchanges, or credits-back for unused credit balances.

If you believe a charge was made in error or you did not authorise a transaction, please contact us at hello@cartagent.store within 14 days of the charge. We will investigate and resolve legitimate billing enquiries in good faith.

9. Disputes and Chargebacks

We are committed to resolving billing issues fairly and promptly. If you have any concerns about a charge, we strongly encourage you to contact us directly at hello@cartagent.store before initiating a dispute with your bank or payment provider.

If you initiate a chargeback or payment dispute with your bank or payment provider without first contacting us to attempt resolution, we reserve the right to immediately suspend your account and all associated services pending the outcome of the dispute.

CartAgent accesses your WooCommerce store via the REST API using credentials you provide. We access product catalogues, categories, coupons, and order data solely to provide the Service. We do not modify your store's data except when explicitly triggered by a user action (e.g., adding an item to cart, creating an order).

You are responsible for ensuring your WooCommerce API credentials have appropriate permissions and that your use of CartAgent complies with your own store's terms and your customers' expectations.

12. AI-Generated Content

CartAgent uses third-party AI models (including models from Anthropic and OpenAI) to generate responses. While we strive for accuracy, AI-generated content may occasionally contain errors. You acknowledge that:

Enterprise subscribers receive MCP and A2A endpoints. You acknowledge that enabling these protocols allows third-party AI agents to interact with your store programmatically. You are responsible for understanding that:

14. Intellectual Property

The CartAgent service, including its code, design, documentation, and branding, is the intellectual property of Nuestra Development Pty Ltd. Your subscription grants you a limited, non-exclusive, non-transferable license to use the Service for the duration of your subscription.

You retain all rights to your store's data, product information, and customer data.

15. Limitation of Liability

To the maximum extent permitted by law, the Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business, or goodwill, arising from your use of the Service.

Our total liability for any claim arising from the Service shall not exceed the amount you paid to us in the 12 months preceding the claim.

16. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not guarantee that the Service will be uninterrupted, error-free, or that AI-generated responses will be accurate.

17. Termination

We may suspend or terminate your access to the Service if you breach these Terms, fail to pay subscription fees, or engage in prohibited conduct. Upon termination:

We may update these Terms from time to time. We will notify you of material changes via email or through the Service. Your continued use after changes take effect constitutes acceptance of the updated Terms.

19. Governing Law

These Terms are governed by the laws of New South Wales, Australia. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of New South Wales.
